(the "Company") and the holders, including the reporting person, of all of the Company's outstanding warrants (the "Warrants") exchanged (the "Exchange") the Warrants for shares of the Company's common stock, par value $0.00005 per share (the "Common Stock") on a one-for-one basis. The holders of the shares of Common Stock received in the Exchange, including the reporting person, are prohibited from selling or transferring these shares until March 11, 2017.
- [F2]All 31,868,774 Warrants were exercisable at the time of the Exchange with 868,774 of the Warrants issued in January 2015 and 31,000,000 of the Warrants issued in February 2015. The 868,774 Warrants expired in January 2020 and had an exercise price of $0.64 per share. The 31,000,000 Warrants expired in February 2020 and had an exercise price of $0.45 per share.
