- [F1]On December 31, 2017 and pursuant to Reporting Person's appointment as Director, the Issuer granted to Reporting Person an option (the "December Option") to purchase 12,500 shares of the Issuer's restricted common stock, at a price of $1.80 per share. The term of each December Option shall be for a period of four (4) years from the date of issue. The fair value of the December Option was determined to be $7,534 using the Black-Sholes Option Pricing Model. The December Option was immediately exercisable at date of issue.
