Each RSU represents the right to receive, upon vesting, one share of the issuer's common stock, par value $0.01. The RSUs will vest in full on January 15, 2020, subject to the reporting person's continued service as a director of the issuer through such date, and are payable six months after the termination of the reporting person from the issuer's board of directors or death or disability.
