Termination of a Material Definitive Agreement

On February 1, 2019, the Company entered into an Employment Agreement with Matthew Willer ("Mr. Willer"). On October 7, 2019, Mr. Willer resigned and his position with the Company and his Employment Agreement was terminated by mutual consent of the parties.

Departure of Directors or Certain Officers; Election of Directors, Appointment of Certain Officers, Compensatory Arrangements of Certain Officers

On October 7, 2019, Matthew Willer resigned as the Company’s President.
