- [F1]The Reporting Person is the Chief Executive Officer, President and Chairman of Ecard Inc.'s (the "Company") Board of Directors. On June 3, 2020, the Company consummated a transaction whereby the Reporting Person contributed all of the issued and outstanding capital stock of EMall Inc., a Delaware corporation, to the Company in exchange for 1,000 shares of the Company's common stock, par value $0.0001 per share (the "Transaction"). On August 12, 2020, the Company and the Reporting Person entered into an agreement unwinding the Transaction, such that the Transaction (as well as any agreement related to the Transaction) was cancelled and voided. As part of the unwinding, cancellation and voiding of the Transaction, the Reporting Person returned the 1,000 shares he received in connection with the Transaction to the Company, and no longer owns any shares in the Company.
