- [F1]2,225,000 shares of Class A common stock were held by Boxwood Sponsor LLC ("Boxwood Sponsor"), which was jointly owned and managed by MIHI Boxwood Sponsor, LLC and Boxwood Management Company, LLC ("Boxwood Management"). Mr. Stephen M. Kadenacy owned a majority interest in, and was the sole manager of, Boxwood Management. As such, Mr. Kadenacy was deemed to beneficially own the shares held by Boxwood Management or Boxwood Sponsor. In connection with the dissolution of Boxwood Sponsor, on December 29, 2020, Mr. Kadenacy received 516,120 shares of Class A Common Stock and is no longer deemed to beneficially own the Class A Common Stock formerly owned by Boxwood Sponsor.
