Each RSU represents a contingent right to receive one share of Class A common stock, par value $0.0001 per share, of Shift Technologies, Inc. (the "Company"). These RSUs were reported in Table II in the original Form 4 filing. This amendment is being filed to report these RSUs in Table I.
- [F2]On November 20, 2021, 25% of the RSUs will vest, plus a number of RSUs equal to the product of 0.06849% of the total number of RSUs and the number of days elapsed during the period from October 15, 2021 to November 20, 2021. 1/16 of the RSUs will vest in quarterly installments (on each of February 20, May 20, August 20 and November 20) thereafter, provided that the number of RSUs vesting on the final quarterly vesting date of November 20, 2024 shall not exceed, when combined with previously vested RSUs, the aggregate number of RSUs granted. Vesting is subject to continued employment with the Company or an affiliate of the Company.
