- [F2]The Reporting Person is the sole manager of the Sponsor and has voting and investment discretion with respect to the securities held by the Sponsor. As such, the Reporting Person may be deemed to beneficially own all of the Class A ordinary shares and Class B ordinary shares held directly by the Sponsor.
- [F3]The Class B ordinary shares will automatically convert into Class A ordinary shares at the time of the Issuer's initial business combination on a one-for-one basis. The Class B ordinary shares have no expiration date.
