- [F1]The shares of Class B common stock, par value $0.0001 per share ("Class B Common Stock"), of Industrial Tech Acquisitions, Inc. (the "Issuer") reported herein automatically convert into shares of the Issuer's Class A common stock, par value $0.0001, at the time of the Issuer's initial business combination on a one-for-one basis. The Class B Common Stock has no expiration date. In connection with the Issuer's initial business combination described in footnote (2), the Class B Common Stock was converted into the right to receive an equal number of ordinary shares of the surviving entity, Arbe Robotics Ltd., an Israeli company ("Arbe"), on October 7, 2021.
- [F2]In connection with the transactions contemplated by that certain Business Combination Agreement, dated as of March 18, 2021 (as amended, the "Business Combination Agreement"), by and among Arbe, Autobot MergerSub, Inc., a Delaware corporation and wholly owned subsidiary of Arbe, and the Issuer, which were consummated on October 7, 2021, all shares of Class B Common Stock held by the Reporting Person were converted into the right to receive, on a one-for-one basis, ordinary shares, with a par value of NIS 0.000216 per share, of Arbe.
- [F3]Industrial Tech Partners, LLC ("Sponsor") is the record holder of the securities reported herein. E. Scott Crist is the managing member of the Sponsor and may be deemed to have beneficial ownership of the securities held of record by Sponsor. Such person disclaims any such beneficial ownership except to the extent of his pecuniary interest therein.
