- [F1]1,523 shares were unintentionally omitted from the reporting person's original Form 4 filed on October 15, 2020. These 1,523 shares were being held in escrow and were subject to forfeiture during the one-year period following the merger of the company formerly known as CuriosityStream, Inc. ("Legacy CuriosityStream") with and into the Issuer (the "Merger") to satisfy indemnification obligations and final working capital calculations. At the effective time of the Merger, each share of Legacy CuriosityStream preferred stock issued and outstanding immediately prior to the effective time was converted into the right to receive 1.202259922 of a share of the Issuer's common stock, with fractional shares rounded to the nearest whole share. The 1,503 indemnification escrow shares were released from escrow to the reporting person on October 18, 2021. The 31,559 shares being reported by the reporting person on this Form 4 reflect the release of the 1,503 indemnification escrow shares to the reporting person and the forfeiture of the 20 working capital escrow shares as reported herein.
