- [F1]On November 1, 2021 the Reporting Person was granted 120,000 Restricted Stock Units (RSUs), each of which represent a contingent right to receive one share of the Issuer's Common Stock, and which vest in the following two tranches: (i) 90,000 RSUs (75% of the total RSUs) vested upon the date of grant; and (ii) 30,000 RSUs (the remaining 25% of the total RSUs) shall vest upon the Issuer achieving certain milestones relating to the Issuer's operational performance during a specified performance period, subject to additional terms set forth in the Award Agreement by and between the Reporting Person and the Issuer and in the Issuer's 2021 Equity Incentive Plan.
