Each such unit consists of one share of common stock and one right to receive one-tenth (1/10) of a share of common stock upon the consummation of an initial business combination.
- [F2]The Sponsor is the record holder of the securities reported herein. Daniel Mamadou and Christopher Clower are the managing members of the Sponsor. Messrs. Mamadou and Clower may be deemed to have shared beneficial ownership of the shares held by the Sponsor by virtue of their control over the Sponsor, as managing members of the Sponsor. Messrs. Mamadou and Clower each disclaims beneficial ownership of the common stock held by the Sponsor other than to the extent of his pecuniary interest in such shares.
