- [F1]On June 10, 2022, the Board of Directors (the "Board") of Creatd, Inc. (the "Company") approved that the independent members of the Board each receive compensation for serving on the Board, in the form of equity issued pursuant to the Creatd, Inc. 2022 Omnibus Securities and Incentive Plan, which remains subject to shareholder approval. The Restricted Stock Units (the "RSUs") issued are priced at fair market value at issuance, vest one year from the date of issuance and are issued quarterly. Ms. Bloor received 10,000 RSUs at the initial election, 2,922 RSUs for annual compensation, 480 RSUs as chair of the Compensation Committee, 120 RSUs as member of the Nominating and Corporate Governance Committee and 120 RSUs as member of the Audit Committee - 13,642 RSUs in total.
