The reporting person entered into a binding Note Conversion & Stock Purchase Agreement with the Issuer on November 28, 2022 (the "Note Conversion and Stock Purchase Agreement"), pursuant to which the reporting person agreed to purchase the 33,155 shares reported in this Form 4.
