(the "Company") completed a Share Exchange Agreement (the "Agreement") with Banner Midstream Corp., a Delaware corporation and Ecoark Holdings, Inc., a Nevada corporation and the sole shareholder of Banner Midstream Corp. Pursuant to the Agreement, on August 23, 2022 the Company issued the Reporting Person a 6% convertible promissory note in the initial principal amount of $815,565, convertible at the option of the Reporting Person at $0.06 per share, with a maturity date of 12 months from the closing of the Agreement in satisfaction all of the Reporting Person's accrued payroll to the Company.
