Item 8.01. Other Events

As previously disclosed, Pivotal Investment Corp. III (the “Company”) has called a special meeting (the “Meeting”) for stockholders to consider and vote on a proposal (the “Extension Proposal”) to extend the time for the Company to consummate an initial business combination from August 11, 2023 to February 11, 2024 or such earlier liquidation and dissolution date as the Company’s board of directors may approve (the “Extension”). The Meeting was originally called for August 2, 2023. On August 2, 2023, the Company adjourned the Meeting to August 11, 2023 at 11:00 a.m. to allow additional time for the Company to engage with its stockholders and effectuate redemption reversals.
