EXPLANATORY NOTE

As previously reported, on October 2, 2023, Heramba Electric plc, an Irish public limited company duly incorporated under the laws of Ireland (“Holdco”), Project Energy Reimagined Acquisition Corp., an exempted company incorporated in the Cayman Islands with limited liability (“PERAC”), Heramba Merger Corp., an exempted company incorporated in the Cayman Islands with limited liability, Heramba Limited, an Irish private company duly incorporated under the laws of Ireland (“Seller”), and Heramba GmbH, a limited liability company (Gesellschaft mit beschränkter Haftung) established under the laws of Germany (“Heramba”), entered into a definitive business combination agreement (the “Business Combination Agreement”), which provides for a proposed business combination through a series of related transactions (collectively, the “Business Combination”).

On July 10, 2024, Heramba Holdings, Inc., a Delaware corporation and wholly owned subsidiary of Heramba (“Holdings”), entered into a loan agreement (the “Loan Agreement”) with an unaffiliated third party (the “Investor”) pursuant to which Holdings issued to the Investor an unsecured note (the “Note”) in an aggregate principal amount of $800,000. The Note matures on April 27, 2025. The Note bears interest at a rate of 5.0% per annum. The Note is subject to customary events of default, the occurrence of which, following written notice to Holdings, triggers the unpaid principal balance of the Note and all other sums payable with regard to the Note becoming immediately due and payable.

The issuance of the Note was made pursuant to the exemption from registration contained in Section 4(a)(2) of the Securities Act of 1933, as amended (the “Securities Act”).

The Investor is also party to a non-redemption agreement with PERAC.
