Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 19, 2024, Joerg Mosolf resigned as a director of Spectaire Holdings Inc. (the “Company”) and Brian Hemond resigned as a director and executive officer of the Company. Neither resigned as a result of a disagreement with the Company.
