Item 8.01. Other Events.

On December 9, 2024, the underwriters of Tavia Acquisition Corp., a Cayman Islands exempted company (the “Company”), notified the Company of their exercise of the over-allotment option in full and purchased 1,500,000 additional units at $10.00 per unit upon the closing of the over-allotment option, generating gross proceeds of $15,000,000. The over-allotment option closed on December 11, 2024 simultaneously with a private placement of $375,000.

On December 12, 2024, the Company published a press release to report the closing of the over-allotment option. The press release is furnished with this report as Exhibit 99.1.
