Item 2.05. Costs Associated with Exit or Disposal Activities

On December 19, 2024, the Board of Directors (the “Board”) of Hyzon Motors Inc. (the “Company”) unanimously approved, subject to stockholder approval, (i) the transfer of all or substantially all of the Company’s assets through an assignment for the benefit of creditors (the “Assignment”), and (ii) the liquidation and dissolution of the Company pursuant to a plan of dissolution (the “Dissolution”) while continuing to pursue strategic alternatives and potential funding sources intended to maximize the value of its business and assets. The Company intends to call a special meeting of its stockholders to seek approval of a plan of dissolution and expects to file proxy materials relating to the special meeting with the Securities and Exchange Commission (the “SEC”) as soon as practicable. As previously reported, the Company began exploring strategic alternatives with its third-party advisors during June 2024. To date, no viable strategic alternatives are available to the Company. If, following stockholder approval of the Assignment and the Dissolution, the Board elects to continue to pursue strategic alternatives, complete a funding transaction prior to the Assignment and the Dissolution or otherwise determines that the Assignment and Dissolution are not in the Company’s best interests or not in the beset interests of its stockholders, the Board may direct that the Assignment and/or the Dissolution be abandoned, amended, or modified to the extent permitted by Delaware law without the necessity of further stockholder approval.

On December 19, 2024, the Board approved a reduction in force consisting of all of the employees at the Company’s Bolingbrook, Illinois and Troy, Michigan facilities, as well as to substantially all of its remaining employees in Illinois and Michigan, and the Company issued a Worker Adjustment and Retraining Notification Act (“WARN Act”) notice (the “Notice”) to such employees. The reduction in force is primarily a result of the Company’s inability to raise funding and the future uncertainty relating to the availability of government subsidies, most notably the California Hybrid and Zero-Emission Truck and Bus Voucher Incentive Project.

The Notice begins the 60-day notice period that must be given prior to idling operations and laying off employees under the WARN Act. If the Company cannot raise funds or find a buyer, it is expected that the reduction in force will be completed in February 2025.

The Company estimates that it will incur a negligible amount of costs in connection with the reduction in force, primarily consisting of legal fees and other related termination costs. The Company may incur additional costs as it finalizes all of the actions to be taken.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 19, 2024, the Company appointed Glenn Kushiner to serve as its Chief Restructuring Officer (“CRO”), effective immediately.

Mr. Kushiner, age 49, has served as a partner at Riveron Management Services, LLC (“Riveron”) since 2001. In connection therewith, he has served as chief restructuring officer, chief financial officer, trustee, or court-appointed receiver for companies in a variety of industries. Prior to joining Riveron, Mr. Kushiner worked as a Senior Auditor with Arthur Andersen LLP. Mr. Kushiner received his Bachelor of Arts degree from Albion College.

The appointment of Mr. Kushiner as CRO is made pursuant to the Engagement Agreement, dated December 19, 2024 (the “Engagement Agreement”), by and between the Company and Riveron.

There are no family relationships between Mr. Kushiner and any of the Company’s directors or executive officers. Mr. Kushiner has no direct or indirect material interest in any existing or currently proposed transaction that would require disclosure under Item 404(a) of Regulation S-K.

Mr. Kushiner will not receive any compensation directly from the Company. Instead, pursuant to the Engagement Agreement, the Company agreed, among other things, to pay Riveron an hourly rate for the services of Mr. Kushiner as set forth in the Engagement Agreement.
