Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 28, 2024, Colin Lim resigned from his position as a member of the board of directors (the “Board”) of Aerkomm Inc. (the “Company”), effective as of that date. Mr. Lim was a member of the Company’s audit committee and the Chairman of the Company’s compensation committee. Mr. Lim’s resignation was not the result of any disagreement with the Company on any matter relating to its operation, policies (including accounting or financial policies) or practices.

On December 30, 2024, Raymond Choy resigned from his position as a member of Board of the Company, effective as of that date. Mr. Choy was a member of the Company’s compensation committee and the Chairman of the Company’s audit committee. Mr. Choy’s resignation was not the result of any disagreement with the Company on any matter relating to its operation, policies (including accounting or financial policies) or practices.
