(the "Issuer"), Mr. You subscribed to purchase an aggregate of 43,910 shares of the Issuer's Class A common stock, par value $0.0001 per share ("Class A Common Stock") at a price of approximately $11.39 per share in a private placement pursuant to a Subscription Agreement dated as of December 23, 2024, by and among Mr. You and the Issuer. Such subscription closed on January 29, 2025.
