- [F2]The Sponsor purchased 2,457,000 warrants in a private placement consummated simultaneously with the closing of the IPO at a price of $1.00 per warrant. Each warrant is exercisable to purchase one share of common stock at an exercise price of $11.50. Each warrant will become exercisable 30 days after the completion of an initial business combination and will expire on the fifth anniversary of the completion of an initial business combination, or earlier upon redemption or liquidation.
