(the “Company”) ~~consummated~~announced ~~its~~that, ~~initial~~on ~~public~~or ~~offering~~about ~~(“IPO”)~~March 24, ~~which~~2025, ~~consisted~~the holders of ~~15,00,000~~the Company’s units (the “Units”). ~~The~~may ~~Units~~elect ~~were~~to ~~sold~~separately attrade athe ~~price~~Class ofA ~~$10.00~~ordinary ~~per~~shares ~~Unit,~~and ~~generating~~warrants ~~gross~~included ~~proceeds~~in to the ~~Company of $150,000,000~~Units. Each Unit consists of one Class A ordinary ~~share,~~and ~~par~~one-half ~~value~~of $0one warrant.~~0001~~ ~~per~~Any ~~share~~Units not separated will continue to trade on The Nasdaq Global Market (“Nasdaq”) under the symbol “SVCCU.” Any underlying Class A ~~Ordinary~~ordinary ~~Shares”),~~shares ofand ~~the Company,~~warrants ~~and~~that ~~one-half~~are ofseparated ~~one~~will ~~redeemable~~trade ~~warrant~~on ~~(each,~~Nasdaq aunder the symbols “~~Warrant~~SVCC”) and “SVCCW,” respectively. ~~Simultaneously~~A ~~with~~copy ~~the closing~~ of the ~~IPO,~~press ~~pursuant~~release toissued ~~the~~by ~~Private Placement Units Purchase Agreements,~~ the Company ~~completed~~announcing the ~~private~~separate ~~placement~~trading ~~(the “Private Placement”)~~ of ~~an aggregate of 555,000 units (~~the ~~“Private~~securities ~~Placement~~underlying ~~Units”) to~~ the Sponsor and BTIG, LLC, the representative of the underwriters, at $10.00 per Unit, each Unit consisting of one Class A Ordinary Share and one-half of one redeemable Warrant, each whole Warrant exercisable to purchase one Class A Ordinary Share of the Company. Of those 555,000 Private Placement Units, ~~the~~is ~~Sponsor purchased~~attached ~~365,000~~hereto ~~Private~~as ~~Placement~~Exhibit ~~Units and BTIG, LLC purchased 190,000 Private Placement Units~~99.1.

AItem ~~total of $151,050,000, comprised of the proceeds from the IPO and the sale of the Private Placement Units (which amount includes $5,250,000 of the underwriter’s deferred discount), was placed in a U~~9.S01.~~-based~~ ~~trust~~Financial ~~account~~Statements ~~maintained~~and ~~by Continental Stock Transfer & Trust Company, acting as trustee~~Exhibits.

An audited balance sheet as of January 31, 2025 reflecting the receipt of the proceeds from the IPO and the Private Placement has been issued by the Company and is included as Exhibit 99.1 to this Current Report on Form 8-K.
