In connection with the filing with the Securities and Exchange Commission (the “SEC”) of a preliminary prospectus supplement, dated November 4, 2025, relating to a proposed offering of convertible senior notes due 2031 by Ramaco Resources, Inc. (the “Company”) and a preliminary prospectus supplement, dated November 4, 2025, relating to a proposed offering of shares of the Company’s Class A common stock, par value $0.01 per share, by certain underwriters, acting on behalf of themselves and/or their affiliates, under the Company’s Registration Statement on Form S-3 (File No. 333-289251), filed with the SEC on August 5, 2025, the Company is providing updated information regarding the Company and its business. The updated business description is filed as Exhibit 99.1 and is incorporated herein by reference.
