Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On November 2, 2025, Mr. Harry Brausnstein, a member of the board of directors (the “Board”) of Stellar V Capital Corp. (the “Company”), passed away. The Company became aware of Mr. Brausnstein’s death on November 6, 2025.

Mr. Brausnstein had served on the Company’s Board as the chair of the Nominating and Corporate Governance Committee and a member of the Audit Committee and the Compensation Committee since January 29, 2025. The Board will review the composition of its committees and overall membership in due course and will take appropriate action in accordance with the Company’s amended and restated memorandum and articles of association.
