Item 2.02 Results of Operations and Financial Condition.

On November 12, 2025, LiveOne, Inc. (the “Company”) issued a press release announcing its operating and financial highlights and results for the second quarter and six months ended September 30, 2025. A copy of the press release is attached hereto as Exhibit 99.1.

On November 6, 2025, the Company issued a press release announcing that it plans to hold a conference call and audio webcast to provide a business update and discuss its operating and financial results for the second quarter ended September 30, 2025 on November 12, 2025.
