Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 24, 2025, Jeremy T. Bezdek resigned from his position as a member of the Board of Directors of Alto Ingredients, Inc. (the “Company”) and from all of the committees on which he served, which resignation was effective on that date. Mr. Bezdek’s resignation was not the result of any disagreement between the Company and him on any matter relating to the Company’s operations, policies or practices.
