Mr. Stephen Silver, our chief executive officer, and Ashley Zumwalt-Forbes, our Chief Operating Officer, are managing members of the sponsor, and therefore have voting and dispositive power over the Class B ordinary shares owned by the sponsor. Mr. Silver and Ms. Zumwalt-Forbes each disclaims any beneficial ownership of the reported shares other than to the extent of any pecuniary interest he or she may have therein, directly or indirectly.
