On February 1012, 2026, pursuant to that certain securities purchase agreement (the “Securities Purchase Agreement”) with an investor named therein (the “Buyer”) dated December 23, 2025, Ucommune International Ltd (“we,” “Ucommune” or the “Company”) (NASDAQ: UK), a co-working spaces and related service provider in China, ~~entered into~~issued ana ~~Amendment,~~total ~~Waiver~~of ~~and~~2,250 ~~Exchange~~Series ~~Agreement~~A ~~(the~~Convertible ~~“Exchange~~Preferred ~~Agreement”)~~Shares ~~with an investor named therein~~ (the “~~Holder~~Preferred Shares”)~~, pursuant~~ to ~~which~~ the ~~Company~~Buyer ~~has~~at ~~agreed to issue to~~ the ~~Holder~~purchase ~~6,800~~price ~~Series~~of ~~A Convertible Preferred Shares,~~ US$01,000.~~024~~00 ~~par~~per ~~value~~Preferred ~~per~~Share ~~share~~ (the “~~New~~ Preferred Shares Issuance”) inand closed ~~exchange of warrants (~~the ~~“Exchange~~second ~~Warrants”)~~tranche of the ~~Company~~Preferred ~~held~~Shares ~~by such Holder (the “Securities Exchange”)~~Issuance.
