Item 7.01.

Regulation FD Disclosure

MBG Holdings Inc. (the “Company”) has announced that its subsidiary OnePath Systems, LLC has finalized a Membership Interest Purchase Agreement for the sale of the entity to Albers Aerospace Holdings LLC as of December 22, 2023. The parties have a Transition Services Agreement in place with regard to the sale of the business.

Other Events

The Company and its subsidiary AMR Resources, LLC at the close of the sale to Albers Aerospace Holdings LLC, as noted above, no longer has any active operations.
