- [F1]On May 6, 2005 Mr. Wellikoff gave Telzuit Technologies, Inc., a Florida corporation ("Telzuit"), an Irrevocable Power of Attorney and Proxy ("Power of Attorney") in connection with 3,478,000 shares of TMC common stock held by Mr. Wellikoff (the "Stock"), giving Telzuit the full power of substitution, to represent Mr. Wellikoff at all regular and special meetings of TMC, or any adjournment(s) thereof, and to vote the Stock for any and all purposes. The Power of Attorney shall expire upon the earlier of (1) the date TMC affects a 1:31 reverse stock split, or (2) May 6, 2006. The Power of Attorney was filed as Exhibit 99.3 to the Registrant's Form 8-K filed on May 12, 2005, and is incorporated into this Form 4 by reference.
