For services during 2010, each eligible director shall be granted Shares with a value equal to $25,000, calculated and paid in two installments. The first installment will be issued on or before the last business day of 2010 and shall consist of an amount of Shares equal to $18,750 divided by the average of Fair Market Value of a Share during the 30-day-period ending on December 15, 2010. The second installment will be issued during the first Fiscal Quarter of 2011 and shall consist of an amount of Shares equal to $6,250 divided by the average of Fair Market Value of a Share during the 30-day-period ending on the last day business day of 2010.
