- [F1]On July 1, 2011, the reporting person was granted an option to purchase shares of common stock. The option was subject to vesting based on the satisfaction by Pacific Capital Bancorp of certain performance criteria for the year ending December 31, 2011. The Compensation Oversight Committee of the Board of Directors determined on March 13, 2012 that such performance criteria were satisfied. The option will now vest in two equal installments, with fifty percent (50%) vesting on July 1, 2013 and fifty percent (50%) vesting on July 1, 2014.

Each restricted stock unit represents the contingent right to receive one share of Pacific Capital Bancorp common stock. The restricted stock units were subject to vesting based on the satisfaction by Pacific Capital Bancorp of certain performance criteria for the year ending December 31, 2011. The Compensation Oversight Committee of the Board of Directors determined on March 13, 2012 that such performance criteria were satisfied.
