- [F1]In connection with estate planning, the reporting person contributed 400,000 shares of directly owned Class A Common stock to a newly established limited liability company, WG6 LLC (the "LLC") in exchange for membership interests in the LLC. Similarly, Mr. Wiley's siblings Deborah E. Wiley and W. Bradford Wiley II each contributed 400,000 Class A Common shares which they owned directly to the LLC in exchange for membership interests. Other than the membership interests in the LLC, Mr. Wiley did not pay or receive any consideration for the shares of Class A Common Stock contributed to the LLC. Mr. Wiley and his siblings are members of the LLC. As a result, Mr. Wiley retains indirect ownership of the shares of Common Stock now held by the LLC.
