The number of shares earned will be prorated based on the degree to which the Company attained the specified performance targets. Shares earned will vest on 5-31-2016, and shares not earned are forfeited as of that date. Prior to 5-31-2016, vesting of shares will be accelerated on the earlier of death or disability of the option holder, or a change in control of the Company.
