("Apple Nine") and two wholly owned subsidiaries of Apple Nine, (the "Merger Agreement"), this option was assumed by Apple Nine in the merger of the issuer and a subsidiary of Apple Nine and replaced with an option to purchase 4,675 common shares of Apple Nine for $12.95 per share.
