The June 27, 2014 stock award was made in connection with the spin-off of the Issuer from Rayonier Inc. on such date and pursuant to the terms of an Employee Matters Agreement between Rayonier Inc. and the Issuer. The stock award has the same terms and conditions as the restricted stock award made by Rayonier Inc. to the reporting person on January 1, 2014.
