- [F1]On January 30, 2020 (the "Date of Grant"), the compensation committee of the board of directors of the Company granted the reporting person an aggregate of 60,000 restricted shares (the "Shares") of common stock pursuant to a Restricted Stock Award Agreement. The Shares vest in equal annual installments on each of the first four anniversaries of the Date of Grant, subject to acceleration or forfeiture in certain circumstances.

- [F3]The options were awarded on January 30, 2020. 40,000 of such options will vest in three equal annual installments commencing on the date on the first date on which the closing price of common stock of the Company is equal to or exceeds four times the exercise price of the options, subject to acceleration or forfeiture. 20,000 of such options will vest in three equal annual installments commencing on the date on the first date on which the closing price of common stock of the Company is equal to or exceeds eight times the exercise price of the options, subject to acceleration or forfeiture.
- [F4]In no event shall all or any portion of the option be exercisable after the tenth anniversary of the date of grant (such ten-year period, the "Option Period"), and any unexercised portion of the option shall terminate at the end of the Option Period. Subject to certain exceptions in connection with the death, disability or termination of the reporting person without cause or for good reason, the option may only be exercised while the reporting person is employed by the Company or one of its subsidiaries.
