However, as previously disclosed, Mr. Ukropina will be retiring from IndyMac Bancorp?s Board of Directors effective as of April 25, 2006 with over five years of service, and pursuant to IndyMac Bancorp?s Board Compensation Policy, the vesting of all of Mr. Ukropina?s outstanding stock awards (including the stock awards reported herein) will be accelerated and all such awards will become fully vested and exercisable as of April 25, 2006.
