- [F1]Pursuant to the terms and provisions of that certain Contribution and Exchange Agreement, by and among SP Common Equity LLC, SP Capital Holdings, LLC and Stonepeak Catarina Holdings, LLC ("Stonepeak"), dated as of September 7, 2020, on September 24, 2020, Antonio R. Sanchez, III contributed 1,169,055 common units representing limited partner interests in Sanchez Midstream Partners LP to SP Common Equity Subsidiary LLC ("SPCES"), a wholly owned subsidiary of SP Common Equity LLC ("SPCE"), in exchange for certain membership interests in SPCE. Antonio R. Sanchez, III is a managing member of SPCE. SPCE is the sole member of SPCES. Mr. Sanchez also irrevocably committed to contribute an additional 140,647 common units to SPCE upon vesting, for which this Form 4 relates. On October 5, 2020, all of the membership interests of SPCES were contributed by SPCE to Stonepeak.
