This amendment is being filed a) to correct the code in Column 3 of Table I from "P" which refers to an open market purchase to "M" which refers to the exercise or conversion of an option exempt from short-swing profits under Rule 16b-3; and b) to reflect in Column 4 of Table II the exercise of the option which was exercised by the reporting person on November 7, 2003.

This amendment is being filed a) to correct the code in Column 3 of Table I from "P" which refers to an open market purchase to "M" which refers to the exercise or conversion of an option exempt from short-swing profits under Rule 16b-3; and b) to reflect in Column 4 of Table II the exercise of the option which was exercised by the reporting person on November 7, 2003.
