Other Events.

On January 22, 2008, KNBT Bancorp, Inc. issued a press release announcing that the board of directors declared a quarterly cash dividend of $0.12 per share. The quarterly cash dividend is payable February 15, 2008 to shareholders of record on January 30, 2008. A copy of the press release is attached hereto as Exhibit 99.1
