- [F1]This amendment is being filed solely to increase the number of shares of Series D Preferred Stock that were converted into common stock upon the closing of the Issuer's initial public offering. The increase in shares of Series D Preferred Stock is a result of the receipt of a greater number of shares of Series D Preferred Stock than previously reported in connection with a stock dividend paid as an in-kind dividend on the Issuer's outstanding shares of Series D Preferred Stock that was paid upon closing of the Issuer's initial public offering on June 7, 2005.
- [F2]Concurrent with the closing of the Issuer's initital public offering, each share of Series D Preferred Stock was automatically converted into Common Stock on a 1-for-1 basis.
- [F3]Shares of Preferred Stock were convertible into Common Stock at any time and had no expiration date. All outstanding shares of Preferred Stock were automatically converted into shares of Common Stock concurrently with the closing of the Issuer's initial public offering.
