- [F1]Mr. Herder transferred all of his Prab Common Stock to Kalamazoo Acquisition Corporation ("KAC") for 51% of KAC's stock. Mr. Herder is chairman of the board and president of KAC. Pending shareholder approval of Prab's proposed going private transaction, Prab will become a wholly owned subsidiary of KAC. Mr. Herder may be deemed to be the beneficial owner of Prab Common Stock which is part of KAC's portfolio, therefore Mr. Herder reported an indirect beneficial ownership interest in all shares of Prab Common Stock currently held by KAC. However, Mr. Herder disclaims beneficial ownership of shares of Prab Common Stock held by KAC to the extent that they exceed his pecuniary interest therein, and this report shall not be deemed an admission that Mr. Herder is the beneficial owner of the securities for purposes of Section 16 or for any other purpose.
- [F2]The undersigned is a participant in the Prab, Inc. Salaried Employee's Profit Sharing Plan (the "Plan") and had an indirect interest in approximately 25,463.654 shares held by the Plan as disclosed by the Plan's most recent Annual Report dated December 31, 2002. Additional shares may have accrued in the undersigned's account in the Plan since the date of such Annual Report. The undersigned holds no investment control regarding any of the shares held by the Plan and the Administrative Committee of the Plan exercises exclusive investment control regarding all shares held by the Plan.
