Pursuant to the Plan, 3,000 shares of The Princeton Review, Inc. should have been sold for the Reporting Person's account on each of September 10, 2004 and October 11, 2004. As a result of broker error, and without the knowledge or participation of the Reporting Person, the planned sales did not occur on these dates. To correct the error, the broker, without the knowledge or participation of the Reporting Person, executed trade corrections on October 13, 2004, in order to put the Reporting Person's account in the position it would have been had the trades been executed on September 10 and October 11. These trade corrections were executed at the average of the high and low prices of the shares listed on Nasdaq for the applicable date.
