- [F1]Ms. Brubacher and the Issuer entered into a Consulting Agreement dated effective as of July 12, 2013 (the "Consulting Agreement") whereby Ms. Brubacher will serve as the President and CFO of the Company which Consulting Agreement was approved by the board of directors of the Issuer (the "Board"). Pursuant to the Consulting Agreement Ms. Brubacher will receive 1,600,000 shares of Common Stock of the Issuer of which 500,000 vested immediately and 45,833.33 shares will vest on October 1, 2013 for a total of 591,666.66 shares vested or vesting within the next 60 days with another 45,833.33 shares vesting on the 1st of each month thereafter with no further action by the Board.
