- [F1]Ms. Brubacher and the Issuer entered into a Consulting Agreement dated effective as of July 12, 2013 (the "Consulting Agreement") whereby Ms. Brubacher will serve as the President and CFO of the Company, which Consulting Agreement was approved by the board of directors of the Issuer (the "Board"). Pursuant to the Consulting Agreement Highland Consulting, Inc. ("Highland"), 100% of the ownership interests of which are directly owned by Ms. Brubacher, will receive 1,600,000 shares of Common Stock of the Issuer (the "Grant") of which 500,000 vested as of July 12, 2013 and 45,833.33 shares will vest on the first of each month beginning on October 1, 2013 and continuing over the next 16 months.
- [F2]This Form 4/A is being filed in order to correct the previous report filed for Ms. Brubacher on 9/13/2013. Specifically this Form 4/A (i) corrects the ownership form of the securities listed on the original Form 4 for the fact that the Grant was granted to Highland and therefore these shares are held indirectly by Ms. Brubacher rather than directly; and (ii) correctly reflects all of the shares covered by the Grant as being beneficially owned by Ms. Brubacher as of the date of the Grant.
