- [F1]The board of directors of the Issuer (the "Board") approved the issuance of these shares of restricted Common Stock (the "Grant") as compensation for Ms. Brubacher's service as president and chief financial officer of the Issuer. The Grant was awarded to Highland Consulting, Inc. ("Highland"), 100% of the ownership interests of which are directly owned by Ms. Brubacher, pursuant to Ms. Brubacher's instructions. The stock will vest over a 24-month period at a rate of 20,833 shares per month (with the vesting first occurring on April 30, 2014 and thereafter on the last day of each month).
- [F2]The Form 4 originally filed on 4/22/2014 is being amended by this Form 4/A primarily to correct column 5 of Table I to report that Highland owns 2,100,000 shares of the Issuer rather than 500,000 as was originally reported on the Form 4 and that, therefore, Ms. Brubacher owns 2,100,000 shares of common stock of the Issuer indirectly through Highland.
