The Grant was awarded to Highland Consulting, Inc. ("Highland"), 100% of the ownership interests of which are directly owned by Ms. Brubacher, pursuant to Ms. Brubacher's instructions. 20,000 of the shares associated with the Grant have vested as of June 30, 2014 and the remaining shares will vest monthly (at the end of each month) at a rate of 3,333.33 per month.
